Nouchoku Terms of Service

These Terms of Service (hereinafter referred to as the "Terms") govern all relationships between Global Network Innovation Co., Ltd. (hereinafter referred to as the "Company") and users regarding the use of the marketplace EC service "Nouchoku" (hereinafter referred to as the "Service").

Users may use the Service only after agreeing to these Terms.

Article 1 (Scope)

These Terms apply to all relationships between the Company and users regarding the use of the Service.

Any rules or guidelines posted on the Service shall form part of these Terms.

Article 2 (Definitions)

"Buyer" means an individual or entity that purchases products through the Service.

"Seller" means an individual or entity that sells products through the Service.

"Company Products" means products sold directly by the Company.

"Seller Products" means products sold by Sellers.

Article 3 (Nature of the Service)

The Service is a marketplace EC platform that facilitates transactions between Sellers and Buyers.

Contracts for Seller Products are concluded directly between the Seller and the Buyer.

The Company may, at its discretion, sell products directly, in which case the contract shall be concluded between the Company and the Buyer.

Article 4 (User Registration)

Users may be required to register in accordance with the procedures specified by the Company.

Users shall ensure that their registration information is accurate and up to date at all times.

Article 5 (Account Management)

Users shall manage their account information at their own responsibility.

The Company shall not be liable for any unauthorized use of accounts by third parties.

Article 6 (Purchase and Sale of Products)

Product details, prices, shipping fees, and delivery methods shall be governed by the information displayed on each product page.

When an order is completed, it shall constitute an offer by the Buyer to the Seller or the Company.

A contract shall be concluded when the Seller (for Seller Products) or the Company (for Company Products) accepts the order.

Once an order has been completed, cancellations are generally not permitted, except as otherwise determined by the Company or the Seller.

Article 7 (Characteristics of Food Products)

Due to the nature of food products, variations in quality, size, and appearance may occur depending on weather, harvest conditions, and transportation.

Buyers agree to these variations in advance.

Article 8 (Returns and Refunds)

Due to the nature of food products, returns or exchanges for customer convenience are generally not accepted.

However, returns or refunds will be accepted in the following cases:

In such cases, the Buyer must contact the Company or the Seller promptly after receiving the product.

  • The product has a clear defect
  • The product differs from the order

Article 9 (Seller Responsibilities)

Sellers shall comply with all applicable laws and are responsible for providing accurate product information, as well as the quality and delivery of products.

Article 10 (Delivery and Delay)

Products shall be delivered by Sellers or designated delivery companies.

Delivery may be delayed due to weather conditions, traffic, disasters, or other unavoidable circumstances.

Article 11 (Prohibited Acts)

Users shall not engage in:

  • Violations of laws or public order
  • Fraudulent or unauthorized activities
  • Acts that interfere with the operation of the Service
  • Any other acts deemed inappropriate by the Company

Article 12 (Service Suspension)

The Company may suspend or interrupt the Service due to maintenance, system failures, or other unavoidable reasons.

Article 13 (Intellectual Property Rights)

All intellectual property rights related to the Service belong to the Company or legitimate rights holders.

Article 14 (Account Termination)

The Company may suspend or terminate user accounts in case of violations of these Terms.

Article 15 (Exclusion of Anti-Social Forces)

Users represent and warrant that they are not affiliated with any anti-social forces.

Article 16 (Disclaimer)

The Company shall not be liable for Seller Products.

Furthermore, the Company shall not be liable for any damages unless caused by its willful misconduct or gross negligence.

Article 17 (Compensation for Damages)

Users shall compensate the Company for any damages caused by their actions.

Article 18 (Personal Information)

The Company shall handle personal information in accordance with its Privacy Policy.

Article 19 (Amendments)

The Company may revise these Terms as necessary.

Article 20 (Governing Law)

These Terms shall be governed by the laws of Japan.

Article 21 (Jurisdiction)

Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

Article 22 (Severability)

If any provision is deemed invalid, the remaining provisions shall remain in effect.

Article 23 (Survival)

Provisions that should survive termination shall remain in effect even after termination.
